Terms of Use

These Terms of Use (“Terms”) govern access to FinalSeal, a product of Joy Software Studio LLC, including the website, API, and related services at finalseal.io (the “Service”). By creating an account, checking the signup agreement box, continuing with Google or Apple where those options are offered, or using the Service, you agree to these Terms and to our Privacy Policy.

1. The Service

FinalSeal lets you upload PDFs, place fields, send signing requests by email or in-person kiosk, capture signatures, seal an immutable copy, and verify that copy later. Signers use a link; they do not need an account. Developers may use the API and webhooks with a key.

2. Accounts

You must provide accurate information and keep your password and kiosk PIN confidential. You are responsible for activity under your account and API keys. Notify us if you believe your account is compromised. We may suspend or close accounts that violate these Terms.

3. Your content

You retain ownership of PDFs, field values, and other content you or your signers submit (“Content”). You grant us a license to host, process, stamp, email, and display Content solely to operate the Service (including certificates, verify, and webhooks you configure).

You represent that you have the right to upload Content and to collect signer names, emails, and signatures, and that your use complies with applicable law.

4. Electronic signatures

The Service provides tools and an audit trail (including IP address, timestamps, and a SHA-256 of the sealed file). Whether a given signing is legally effective depends on the document, the parties, and the law that applies (for example ESIGN or UETA in the United States). FinalSeal is not a law firm and does not give legal advice. You are responsible for using the Service in a way that meets your legal requirements.

5. Acceptable use

You may not:

• Use the Service for unlawful, fraudulent, or deceptive purposes.
• Upload malware or attempt to break or overload the Service.
• Access another user’s account, templates, or envelopes without authorization.
• Resell or white-label the Service except as we agree in writing.
• Misrepresent who signed, or tamper with sealed files and present them as authentic.

6. API and webhooks

API keys are secrets. You are responsible for calls made with your keys and for securing webhook endpoints. We may rate-limit or revoke keys that abuse the Service.

7. Kiosk

In-person signing happens on your device. The PIN is a handoff lock, not a second login password. You are responsible for who you hand the device to and for unlocking it when they are done.

8. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. Features may change.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that sealed documents will be admitted in every proceeding or that verify will catch every form of tampering outside exact-bytes matching.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOY SOFTWARE STUDIO LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS, ARISING FROM THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE PAID NOTHING.

11. Indemnity

You will defend and indemnify Joy Software Studio LLC against claims arising from your Content, your envelopes, your signers, or your misuse of the Service.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms. Provisions that should survive (including 3–6 and 9–11) will survive.

13. Changes

We may update these Terms. The “Last updated” date will change. If you continue to use the Service after an update, you accept the new Terms.

14. General

These Terms are the agreement between you and Joy Software Studio LLC for the Service. FinalSeal is a product of Joy Software Studio LLC. Our address is 100 N Howard St #7669, Spokane, WA 99201, United States. These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
